Item 1.01 Entry into a Material Definitive Agreement
On June 10, 2008, the Registrant completed all conditions precedent to the effectiveness of certain amendments to the Registrant’s inventory and receivables credit facilities with CapitalSource Finance LLC (“CapitalSource”). The inventory facility was increased from a maximum of $30 million to a maximum of $50 million. Under the terms of the amendments, the revolving period of the inventory facility was extended to April 2010 and the maturity date was extended to April 2012, with the option to extend both the revolving and the maturity dates for additional one-year terms. Advances under the inventory facility bear interest at the Prime Rate plus 1.5%, with a Prime Rate floor of 5.5%. Under the inventory facility, the financial covenant for the maximum allowable limit on the ratio of sales and marketing expense to revenue from the sale of vacation intervals was increased from .55 to 1 to .60 to 1. In addition, in the event the Registrant delivers written evidence satisfactory to CapitalSource that this ratio is no longer required to be tested under the Registrant’s Textron facility, this covenant shall no longer be required. The revolving period and maturity date of the receivables facility was extended from June 2008 to June 2010, with the option to extend for a one-year term. The interest rate on advances under the receivables facility remained the same at the Prime Rate plus 0.75%, with a Prime Rate floor of 5.5%.
