1. Annual Retainer of $9,000 payable in shares of Common Stock to each independent director.

2. Mr. Pasquerilla also holds Indirect 287,150 shares held by Crown American Enterprises, Inc. and 125,500 shares held by Marenrico Partnership. Marenrico Partnership also owns 2,337 Trust Preferred Securities.
