Explanation of Responses:

1. On September 6, 2018, the reporting person was granted a performance-based restricted share award by the Company, and the number of shares subject to the award was previously reported in Table I of Form 4 filed on September 10, 2018. On March 29, 2019, the Company determined that, based on the Company's 2018 performance, these restricted shares did not vest and are forfeited as the performance goals associated with the restricted share grant were not achieved.
