Item 8.1.0 Other Events
Effective August 29, 2006, Bay Banks’ transfer agent will be Registrar and Transfer Company (R&TC). R&TC was founded in 1899 and is the nation’s oldest, most widely respected specialist in the stock transfer business. R&TC currently provides transfer service for over 400 banks, including nearly 50 Virginia banks. This change represents a cost savings to the Company and will continue the high level of professional, personal and friendly service our shareholders expect. Shareholders may also choose to utilize new services such as online access to account information and direct deposit of dividends into any financial institution.
