Item 2.02. Results of Operations and Financial Condition.
On April 8, 2005, webMethods, Inc. ("webMethods" or the "Company") issued a press release announcing the date on which the Company plans to release financial results for its fiscal fourth quarter and year ended March 31, 2005 and indicating the Company's expectation of its financial results for its fiscal fourth quarter with respect to the Company's prior guidance on total revenue and pro forma net income (loss) per share for such period. That press release is attached as Exhibit 99.1 to this Form 8-K.

On April 8, 2005, the Company issued a press release announcing the date on which the Company plans to release financial results for its fiscal fourth quarter and year ended March 31, 2005 and indicating the Company's expectation of its financial results for its fiscal fourth quarter with respect to the Company's prior guidance on total revenue and pro forma net income (loss) per share for such period.
