Explanation of Responses:

1. The option vests and becomes exercisable as to 25% of the underlying shares on the first anniversary of January 25, 2023, and the remaining 75% of the underlying shares vest in 12 equal quarterly installments thereafter, subject to the Reporting Person's continuous service to the Issuer through the applicable vesting date.

Remarks:

On December 1, 2022, the Issuer effected a 1-for-40 reverse stock split. The share counts herein have been adjusted to reflect the reverse stock split.
