The quarterly report of the Registrant on Form 10-QSB could not be filed because Registrant’s independent auditor has not yet completed its review of the unaudited financial statements to be included in the Form 10-QSB.

If so, attach an explanation of the anticipated change, both narratively and quantitatively, and, if appropriate, state the reasons why a reasonable estimate of the results cannot be made.
Compared to the Company’s results of operations for the first six months of 2000, the Company’s results of operations for the first six months of 2001 will reflect drastically lower revenues. This decrease in revenues is attributable to the demise of the Company’s dial-up Internet access business, the decline being substantially caused by the Company’s CyberHighway subsidiary being forced into bankruptcy in September 2000. The current period’s net loss will be approximately 20% of the prior year’s net loss. In the current period, approximately two-thirds of the net loss will be attributable to the issuance of common stock for services to consultants.
The Company’s results of operations for the three months ended June 30, 2001, are comparable to its results of operations for the three months ended March 31, 2001.
