Item 5.02 Departure of Principal Officer.
On August 8, 2006, the Board of Directors accepted the resignation of Craig A. Cook, the Registrant’s former Chief Administrative Officer, effective August 14, 2001. The resignation of Mr. Cook was not due to any disagreement with the Company’s operations, policies or practices.
Item 8.01. Other Events.
On August 14, 2006, the Company issued a press release announcing the departure of Craig A. Cook from the Registrant’s management team as described under Item 5.02 above. A copy of the press release is attached as Exhibit 99.1 to this Current Report.
