Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
By a letter dated March 4, 2009, Matthew Kaufman resigned from the Board of Directors of Atlantic Express Transportation Corp., which letter stated that the resignation is effective as of January 12, 2009. The resignation of Mr. Kaufman was not a result of any disagreement with the Company.
