Item 8.01 Other Events
On March 12, 2019, Alexandria Real Estate Equities, Inc. (the “Company”) and Alexandria Real Estate Equities, L.P., as guarantor (the “Guarantor”), entered into an underwriting agreement with Goldman Sachs & Co. LLC, Citigroup Global Markets Inc., J.P. Morgan Securities LLC and SMBC Nikko Securities America, Inc., as representatives (the “Representatives”) of the several Underwriters named therein (the “Underwriters”), in connection with the sale of $200,000,000 aggregate principal amount of the Company’s 4.000% Senior Notes due 2024, of which $450 million aggregate principal amount was originally issued on June 21, 2018, $350,000,000 aggregate principal amount of the Company’s 3.800% Senior Notes due 2026 and $300,000,000 aggregate principal amount of the Company’s 4.850% Senior Notes due 2049 (together, the “Notes”). The Notes will be fully and unconditionally guaranteed by the Guarantor and, subject to customary closing conditions, the Underwriters expect to deliver the Notes to the purchasers on or about March 21, 2019. The Notes were offered by the Company pursuant to an effective shelf registration statement on Form S-3 on file with the Securities and Exchange Commission. A copy of the underwriting agreement is attached hereto as Exhibit 1.1.
On March 12, 2019, the Company issued a press release announcing the offer of the Notes. A copy of the press release is attached hereto as Exhibit 99.1.
On March 12, 2019, the Company issued a press release announcing the pricing of the Notes. A copy of the press release is attached hereto as Exhibit 99.2.
