Section 1 – Registrant’s Business and Operations
Item 1.01. | Entry into a Material Definitive Agreement. |
On November 12, 2009, NSTAR entered into an underwriting agreement (the “Underwriting Agreement,” attached as Exhibit 99.1 hereto) with Banc of America Securities LLC and Goldman, Sachs & Co., as representatives to the underwriters, in connection with the offer and sale by NSTAR to the underwriters of $350 million aggregate principal amount of 4.50% Debentures due 2019 (the “Debentures”). The Debentures were issued under an indenture dated as of January 12, 2000 between NSTAR and The New York Mellon Trust Company, N.A. (as successor to Bank One Trust Company, N.A.), as trustee. The Debentures were registered under the Securities Act of 1933 (Registration Statement No. 333-162401).
The Debentures mature on November 15, 2019 and bear interest at a rate of 4.50% per annum, which is payable semi-annually on May 15 and November 15 of each year, commencing May 15, 2010. Interest on the Debentures will accrue from November 17, 2009 and will be computed on the basis of a 360-day year consisting of twelve 30-day months.
NSTAR may, at its option, redeem the Debentures, in whole or in part, at any time at a redemption price equal to the greater of:
| • | | 100% of the principal amount of the Debentures to be redeemed, plus accrued interest to the redemption date, and |
| • | | as determined by the Quotation Agent, the sum of the present values of the remaining scheduled payments of principal of and interest on the Debentures to be redeemed (not including any portion of payments of interest accrued as of the redemption date) discounted to the redemption date on a semiannual basis at the Adjusted Treasury Rate, plus 20 basis points plus accrued interest to the redemption date. |
