Item 2.02. Results of Operations and Financial Condition

On July 28, 2009, Callidus Software Inc. issued a press release announcing its financial results of and for the quarter ended June 30, 2009. The press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K. The information furnished in this report, including the exhibit, shall not be deemed to be incorporated by reference into Callidus Software Inc.'s filings with the SEC under the Securities Act of 1933 and shall not be deemed to be "filed" with the SEC under the Securities Exchange Act of 1934.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 24, 2009, Bryan Burkhart ceased to hold the title of Senior Vice President, Global Sales of the Company and ceased to be an executive officer of the Company. As such, Mr. Burkhart ceased to be a Section 16 officer under the Securities Exchange Act of 1934 but he will continue to be a Callidus employee and will provide support to Callidus Software (the "Company") until October 31, 2009. As has been previously disclosed in our Proxy Statement, the Company standard severance policy for senior vice presidents is that, in exchange for a signed general release of claims against the Company, the Company will provide seven months of base pay and an additional payment to cover seven months of COBRA health coverage. Therefore, if Mr. Burkhart signs the general release of claims against the Company, he will also be entitled to these severance payments.
