Explanation of Responses:

1. The shares of Class A Common Stock were transferred on a one-for-one basis for shares of Class B Common Stock for no additional consideration in a private transaction.

2. The securities are held directly by various family trusts for the benefit of the children of James Sumas, of which the Reporting Person is the sole trustee or co-trustee.

3. Each share of Class B Common Stock is convertible for one share of Class A Common Stock at the option of the holder at any time.

4. The securities are held directly by Nicholas Sumas Grandchildren Trust for the benefit of James Sumas's children, of which the Reporting Person is a co-trustee.
