Explanation of Responses:

1. Shares owned directly by Merlin Partners. Mr. Hopkins, solely by virtue of his position as the Portfolio Manager of Merlin Partners may be deemed to beneficially own the shares owned directly by Merlin Partners for purposes of Section 16. Mr. Hopkins expressly disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.

2. Shares owned directly by the CATALYST Fund. Mr. Hopkins, solely by virtue of his position as the Portfolio Manager of CATALYST Fund may be deemed to beneficially own the shares owned directly by CATALYST Fund for purposes of Section 16. Mr. Hopkins expressly disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.

3. Shares owned directly by family members. Mr. Hopkins, solely by virtue of his relations with the account owners may be deemed to beneficially own the shares owned directly by the family members for purposes of Section 16.
