Explanation of Responses:

1. Each restricted stock unit represents the right to receive one share of common stock of the issuer as described below. The restricted stock units vest in full on the first year anniversary of the grant date. The vested shares will be delivered to the reporting person on such vesting date unless an election has been made by the reporting person to defer receipt of such shares to a later date.

2. On November 24, 2020 the common stock of Tempur Sealy International, Inc. split 4-for-1, resulting in the reporting person's ownership of 89,334 additional shares of common stock.
