On May 20, 2024, Mid Pines Associates LP (“MP”) dissolved and distributed 910,330 shares of common stock of the Issuer on a prorata basis to its partners. Bruce Bainum was a general partner and had shared voting authority. Bruce Bainum Declaration of Trust(“BB Trust”) received 130,814 shares from this distribution. The transfer involved no consideration.

Reporting Person:
9,927,414 shares (20.61%) including 2,507,574 shares owned by the Bruce Bainum Declaration of Trust of which Dr. Bainum is the sole trustee and beneficiary. Also includes 5,000 shares owned by Posadas Holdings, LLC, a private company for which he shares voting authority and whose sole members are Dr. Bainum and the BB Trust; 6,821,574 shares owned by White Oak Legacy, Inc. (f/k/a Realty Investment Company, Inc.), in which BB Trust owns voting stock and has shared voting authority; 304,853 shares owned by Three Graces Foundation, Inc., a private foundation for which Dr. Bainum is a Director and has sole voting and dispositive authority; 281,818 shares owned by Charis Advocacy Fund, a tax exempt organization for which Dr. Bainum is a Director and has sole voting and dispositive authority; and 6,595 shares owned by trusts for the benefit of Dr. Bainum’s descendants for which Dr. Bainum is the sole trustee.
