(“diaDexus”), and John E. Hamer as the agent of diaDexus’ stockholders.
The Amendment, among other things, (a) removes the closing condition that the California Commissioner of Corporations issue a permit under Section 25121 of the California Corporations Code for the issuance of VaxGen’s common stock pursuant to the Merger Agreement or that such shares be registered on a Form S-4 which has been declared effective by the Securities and Exchange Commission (the “SEC”); (b) provides for the issuance of the shares of VaxGen’s common stock pursuant to the Merger Agreement to be made pursuant to an exemption from registration provided in Section 4(2) of the Securities Act and Regulation D of the SEC promulgated thereunder; (c) provides that the information delivered to diaDexus stockholders regarding the proposed mergers shall satisfy all applicable information and disclosure requiremen ts set forth in Rule 502 under the Securities Act; and (d) provides that diaDexus will use its commercially reasonable efforts to solicit and obtain the written consent of its stockholders to approve the proposed transaction by July 2, 2010 and promptly mail to each stockholder of diaDexus entitled to appraisal rights a notice of such consent in accordance with the provisions of Section 262(d)(2) of the Delaware General Corporation Law.
In addition, the Amendment modifies the closing date of the proposed mergers to be the later of (i) July 28, 2010 and (ii) as promptly as practicable (and in any event within two (2) business days) after satisfaction or waiver of the conditions set forth in Article 6 of the Merger Agreement.
The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the Amendment, a copy of which is filed as Exhibit 2.1 to this Current Report on Form 8-K and is incorporated herein by reference.
