Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive either, at the discretion of the Compensation Committee of the Board of Directors, one share of Issuer common stock or cash equal to the fair market value thereof. The Compensation Committee has determined that the reporting person will receive common stock if the Issuer's stockholders approve an amendment to the Issuer's Incentive Compensation Plan at the annual meeting of the stockholders to be held on August 20, 2019. If the stockholders do not approve the amendment., the reporting person will receive cash.

2. On January 2, 2019, the reporting person was granted 114,774 restricted stock units, vesting 50% on August 15, 2019 and 50% on March 15, 2020.
