Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) On September 13, 2007, at a meeting of the independent directors (the “Independent Directors”), of the Board of Directors of Heska Corporation (the “Company”), the Independent Directors reviewed base salary compensation for Robert B. Grieve, Ph.D., Chief Executive Officer (“CEO”), of the Company. The Independent Directors reviewd base salary information for chief executive officers of certain comparable companies in the Company’s industry, the individual performance of Dr. Grieve and the performance of the Company and approved an increase in the base salary for Dr. Grieve from $375,000 to $400,000, with such increase to be effective September 1, 2007.
