Results of Operations and Financial Condition.

(d)             On March 31, 2008, Reis, Inc. (the “Company”) held a conference call to discuss the Company’s financial results for fiscal 2007 and the fourth quarter of 2007. Pursuant to General Instruction F to Form 8-K, a copy of the transcript from the conference call (the “Transcript”) is attached hereto as Exhibit 99.1 and is incorporated into this Item 2.02 by this reference. The information contained in this Item 2.02, including the related information set forth in the Transcript, is being “furnished” and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934 or otherwise.
