Item 1.01. Entry into a Material Definitive Agreement.

Volt Information Sciences, Inc. has entered into Amendment No. 1, dated January 5, 2016 (“Amendment No. 1”), to its Receivables Financing Agreement, dated as of July 30, 2015 (the “Financing Program”).  Amendment No. 1 (i) extends the Financing Program’s termination date to January 31, 2017, (ii) revises the financial covenants by eliminating the interest coverage ratio test and modifying the liquidity level requirement, and (iii) reduces the minimum funding threshold from 60% to 40%.
