Explanation of Responses:

1. The reporting person's shares are held by the issuer's executive deferred compensation plan for the benefit of the reporting person who, in prior years, elected to receive payment in 2017, pursuant to Internal Revenue Code Section 409A.

2. Options to repurchase vest in four or five annual installments and expire thirty years from date of grant. Includes 1,777 options, 1,332 options, and 822 options that vested on February 15, 2005, 2006 and 2007, respectively.
