Item 7.01 – Regulation FD Disclosure
On April 21, 2009, Kendle International Inc. (the “Company”) hosted a conference call to discuss the impact of adverse biopharmaceutical industry conditions, which are resulting in longer delays in the signing of existing contract awards, fewer new requests for proposals and an increase in contract cancellations, on its net service revenues.
The script of the conference call (the “Script”) is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference in this Item 7.01.
Information in the Script contains forward-looking statements regarding future events and performance of the Company. All such forward-looking statements are based largely on management’s expectations and are subject to risks and uncertainties that could cause actual results to differ materially. These risks and uncertainties include competitive factors, outsourcing trends, contract terms, exchange rate fluctuations, the Company’s ability to manage growth and to continue to attract and retain qualified personnel, the Company’s ability to complete acquisitions and to integrate newly acquired businesses, consolidation within the industry and other factors described in the Script and in the Company’s filings with the Securities and Exchange Commission.
The information in this Form 8-K, including the exhibit attached hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such filing.
