This prospectus supplement and the accompanying base prospectus relate to the offer and sale from time to time of shares of our common stock, par value $0.01 per share, in an amount having an aggregate offering price of up to $1,000,000,000 through BofA Securities, Inc. acting as sales agent or principal, or, if applicable, as Forward Seller (as defined below) acting as agent or principal of the Forward Purchaser (as defined below). These sales, if any, will be made pursuant to the terms of an equity distribution agreement among us, the manager and the Forward Purchaser, which was filed with the Securities and Exchange Commission on August 3, 2023 as an exhibit to a Current Report on Form 8-K (the “Equity Distribution Agreement”).
Under the terms of the Equity Distribution Agreement, we also may sell our common stock to the manager as principal for its own account at a price agreed upon at the time of the sale. If we sell our common stock to the manager as principal, we will enter into a separate terms agreement with the manager and we will describe that agreement in a separate prospectus supplement or pricing supplement.
The Equity Distribution Agreement contemplates that, in addition to the issuance and sale by us of shares of our common stock to or through the manager as our sales agent, we may enter into separate forward sale agreements (each, together with any related pricing supplement, a “forward sale agreement” and, collectively, the “forward sale agreements”), with Bank of America, N.A. ( the “Forward Purchaser”). If we enter into a forward sale agreement with the Forward Purchaser, we expect that the Forward Purchaser, acting in accordance with the mutually accepted instructions related to such forward sale agreement, will attempt to borrow and sell, through the manager, acting as agent for the Forward Purchaser, shares of our common stock to hedge the Forward Purchaser’s exposure under such forward sale agreement. We refer to the manager, when acting as agent or principal for the Forward Purchaser, as the “Forward Seller.” We will not initially receive any proceeds from any sale of shares of our common stock borrowed by the Forward Purchaser and sold through the Forward Seller.
We currently expect to fully physically settle each forward sale agreement, if any, with the Forward Purchaser on one or more dates specified by us on or prior to the maturity date of such forward sale agreement. However, subject to certain exceptions, we may also elect, in our sole discretion, to cash settle or net share settle all or any portion of our obligations under any forward sale agreement, in which case we may not receive any proceeds (in the case of cash settlement) or will not receive any proceeds (in the case of net share settlement), and we may owe cash (in the case of cash settlement) or shares of our common stock (in the case of net share settlement) to the Forward Purchaser. Our common stock is listed on the New York Stock Exchange (the “NYSE”), under the symbol “OKE.” The last reported sale price of our common stock on August 1, 2023 was $66.60 per share.
Sales of our common stock under this prospectus supplement, if any, will be made from time to time by means of ordinary brokers’ transactions through the facilities of the NYSE at market prices, in block transactions, or as otherwise agreed among us and the manager, as our sales agent or as Forward Seller, by means of any other existing trading market for our common stock or to or through a market maker other than on an exchange. We or the manager may suspend the offering of common stock at any time and from time to time by notifying the other party. The offering of the shares is subject to receipt and acceptance and subject to the manager’s right to reject any order in whole or in part.

The compensation to the manager for sales of common stock under this prospectus supplement shall be up to, but shall not exceed, 2.0 % of the gross sale price of common stock sold by the manager. The compensation to the manager acting as the Forward Seller will be a mutually agreed commission in the form of a reduction to the initial forward price under the related forward sale agreement that shall be up to, but shall not exceed, 2.0% of the gross sales price of the borrowed shares of our common stock sold through the manager, acting as Forward Seller, during the applicable forward hedge selling period for such shares (which gross sales price will be adjusted for daily accruals based on a floating interest rate, less a spread, and specified amounts related to expected dividends on shares of our common stock if an “ex-dividend” date occurs during such forward hedge selling period). The net proceeds we receive from any sales under this prospectus supplement will be used as described under “Use of Proceeds” in this prospectus supplement.
