1. Consists of restricted stock units ("RSUs") granted pursuant to the PetMed Express, Inc. (the "Company") 2015 Outside Director Equity Compensation Plan, which vest on June 24, 2025, subject to continued service on the Board of Directors of the Company through the vesting period. Each RSU represents a right to receive one share of the Company's Common Stock upon vesting.
