Explanation of Responses:

1. Includes (a) 1,350 shares of restricted stock ("RSU") under the Company's 2016 Employee Equity Compensation Restricted Stock Plan (the "2016 Plan"), which stock restrictions will lapse pro rata on each of September 30, 2022, September 30, 2023 and September 30, 2024, which are subject to forfeiture in the event of termination of employment (except as provided in the RSU agreement),and (b) 6,000 shares of restricted stock ("RSU") under the Company's 2016 Employee Equity Compensation Restricted Stock Plan (the "2016 Plan"), which stock restrictions will lapse pro rata on each of January 4, 2023, January 4, 2024 and January 4, 2025, which are subject to forfeiture in the event of termination of employment (except as provided in the RSU agreement). Ms. Smith retains voting rights over all the shares subject to forfeiture while in escrow.
