We serve as counsel to Inspire Pharmaceuticals, Inc., a Delaware corporation (the “Corporation”) in connection with the filing by the Company of Post-Effective Amendment No. 1 to Registration Statement on Form S-8 (the “Registration Statement”) under the Securities Act of 1933, as amended. The Registration Statement relates to the registration of an additional 3,000,000 shares (the “Shares”) of the Company’s common stock, $.001 par value, issuable upon the exercise of stock options under the Company’s Amended and Restated 1995 Stock Plan, as amended (the “Plan”).
