Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
(a) Effective December 31, 2007, the Board of Directors of the Company adopted Amended and Restated Bylaws of the Company. The amended provisions provide for, among other things, uncertificated shares of capital stock and the use of electronic transmissions for notices, proxies and voting. The Amended and Restated Bylaws also reflect Amendment No. 1, Amendment No. 2 and Amendment No. 3 to the Company’s bylaws, which were adopted previously. The foregoing description of the Amended and Restated Bylaws is a summary qualified in its entirety by the full text of the Amended and Restated Bylaws, which is filed as Exhibit 3.1 to this Current Report and incorporated herein by reference.
