ITEM 8.01 OTHER EVENTS.
On April 18, 2007, Neenah Foundry Company announced the results of its previously announced offer to exchange (the “Exchange Offer”) up to $225,000,000 in principal amount of its registered 91/2% Senior Secured Notes due 2017, CUSIP No. 640071AR7 (the “Exchange Notes”) for the same principal amount of its previously outstanding 91/2% Senior Secured Notes due 2017, CUSIP No. 640071AP1 (the “Original Notes”). The Exchange Offer expired at 5:00 p.m., New York City time on Tuesday, April 17, 2007.
A total of $225,000,000 aggregate principal amount, or 100%, of the Original Notes were validly tendered and not withdrawn, and were accepted for exchange. The Exchange Notes have substantially identical terms as the Original Notes, except that the Exchange Notes have been registered under the Securities Act of 1933.
