Item 5.07. Submission of Matters to a Vote of Security Holders.
On May 6, 2010, Gaylord Entertainment Company (the “Company”) held its annual meeting of stockholders (the “Annual Meeting”). As of the record date for the Annual Meeting, there were 47,040,887 shares of the Company’s common stock entitled to vote on all matters presented to the Company’s stockholders at the Annual Meeting. Holders of 42,760,596 shares of the Company’s common stock were present in person or represented by proxy at the Annual Meeting.
The following are the voting results on each matter submitted to the Company’s stockholders at the Annual Meeting. At the Annual Meeting, all of the Company’s 11 director nominees were elected to the serve on the Company’s Board of Directors (Proposal 1 below). In addition, management’s proposal regarding ratification of the retention of Ernst & Young LLP as the Company’s registered independent public accounting firm for 2010 was approved (Proposal 2 below).
