Explanation of Responses:

1. Shares surrendered to the company in order to satisfy a portion of the option exercise price.

2. On December 19, 2017, the reporting person mistakenly filed a Form 4 reporting that an option which became exercisable in three equal installments on April 3, 2009, April 3, 2010, and April 3, 2011 for 75,000 shares had been exercised. Such option has not been exercised by the reporting person.

3. The option became exercisable in three equal installments on December 17, 2008, December 17, 2009, and December 17, 2010.
