Explanation of Responses:

1. Reporting person was awarded performance shares under the 2006 Incentive Plan subject to both the meeting of certain performance goals and continued employment to a certain date. The compensation committee determined on February 22, 2017 that the performance goals had been met as to 6,217 shares of a grant on April 5, 2014; those shares vesting entirely upon continued employment until April 5, 2017.

2. The balance includes 1,851 restricted stock shares previously granted, subject to time vesting.
