ITEM 7.01. Regulation FD Disclosures.

On March 31, 2015, Radio One, Inc. announced that Charter Communications Holding Company, LLC and TV One, LLC ("TV One") entered into a binding term sheet effective April 01, 2015 for a multi-year renewal of their previous affiliation agreement regarding the distribution of the television programming service of TV One.
