Item 1.01. Entry into a Material Definitive Agreement.
On August 25, 2006, PMA Capital Corporation (the “Company”) entered into an Agreement and Release with Henry O. Schramm, its former Senior Vice President and Chief Underwriting Officer, The PMA Insurance Group, in connection with the termination of his employment as of August 10, 2006, which generally provided for Mr. Schramm’s resignation from his position and employment with the Company, the payment of severance in the amount of $143,999 and other benefits, and a general release of claims against the Company.
