Item 8.01. Other Events.
As previously announced, on April 21, 2008, PMA Capital Corporation (the “Company”) entered into a Stock Purchase Agreement to acquire Webster Risk Services, a Connecticut-based provider of Third Party Administration services, from Webster Financial Corporation.
On June 30, 2008, the Company issued a news release stating that it completed the acquisition of Webster Risk Services, which will be renamed PMA Management Corp. of New England, Inc. Under the terms of the transaction, the Company paid $5.9 million in cash for Webster Risk Services, which included certain price adjustments at closing. A copy of the news release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
