Item 5. OTHER EVENTS AND REGULATION FD DISCLOSURE.
On July 14, 2004, Walgreen Co. (the "Company") announced that the Board of Directors had authorized a stock repurchase program of up to $1 billion, which the Company plans to execute over the next four years. In connection with this announcement, the Company issued a press release, a copy of which is attached as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.
