This is an offering of $700,000,000 aggregate principal amount of 0.70% Senior Notes due 2023 (the “fixed rate notes”) and $1,000,000,000 aggregate principal amount of Floating Rate Senior Notes due 2023 (the “floating rate notes” and, together with the fixed rate notes, the “notes”). The fixed rate notes will mature on March 2, 2023 and the floating rate notes will mature on March 2, 2023.
The fixed rate notes will bear interest at a rate of 0.70% per year from, and including, the date of issuance. We will pay interest on the fixed rate notes on March 2 and September 2 of each year, beginning on September 2, 2021. The fixed rate notes are subject to optional redemption at any time on or after September 2, 2021 at a price equal to 100% of the principal amount of the fixed rate notes being redeemed, plus any accrued and unpaid interest thereon, if any, to, but excluding, the redemption date as described under the caption “Description of the Notes—Optional Redemption.”
The floating rate notes will bear interest at a rate equal to the Three-Month LIBOR Rate (as defined herein) plus 50 basis points per year, payable quarterly in arrears on March 2, June 2, September 2 and December 2 of each year, beginning on June 2, 2021, subject to the provision set forth under the caption “Description of the Notes—Principal, Maturity and Interest—Floating Rate Notes.” The floating rate notes are subject to optional redemption at any time on or after September 2, 2021 at a price equal to 100% of the principal amount of the floating rate notes being redeemed, plus any accrued and unpaid interest thereon, if any, to, but excluding, the redemption date as described under the caption “Description of the Notes—Optional Redemption.”
The notes will be unsecured and will rank equally with our other unsecured and unsubordinated indebtedness. The notes will be structurally subordinated to all existing and future indebtedness and other liabilities of our subsidiaries. The notes will be issued in minimum denominations of $2,000 and integral multiples of $1,000 in excess thereof.
