Explanatory Note
On June 25, 2019, American Electric Technologies, Inc. (the “Company”) filed a current report on Form 8-K reporting that it received a $725,000 distribution from its Chinese joint venture, BOMAY. This Form 8-K/A is being filed to disclose that the Form 8-K filing constitutes soliciting material pursuant to Rule 14a-12 under the Exchange Act.
Item 8.01 Other Events.
On June 25, 2019, American Electric Technologies, Inc. (the “Company”) issued a press release announcing the receipt of a distribution of $725,000 from its Chinese joint venture, Bomay Electric Industries Co., Ltd. (“BOMAY”) which resulted from earnings of BOMAY for the fiscal year ended December 31, 2018. A copy of the Company’s press release is filed as Exhibit 99.1 to this Form 8-K.
