Explanation of Responses:

1. On March 6, 2018 the Reporting Person was granted time-based Share Units pursuant to the Company's Long-Term Incentive Plan. On March 6, 2021, 2,550 time-based Share Units under the March 6, 2018 grant vested and were paid on a one-for-one basis in Company Common Shares.

2. Vesting of performance shares pursuant to a March 6, 2018 grant to the Reporting Person under the Company's Long-Term Incentive Plan payable on March 6, 2021 based on Company performance on a one-for-one basis in Company Common Shares.

3. Share Units granted to the Reporting Person pursuant to the Company's Long-Term Incentive Plan payable on a one-for-one basis in Company Common Shares if the Reporting Person remains employed on March 8, 2024.
