Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On September 21, 2023, Precipio, Inc. (the “Company”) filed a Certificate of Amendment to its Third Amended and Restated Certificate of Incorporation (the “Certificate of Amendment”) with the Secretary of State of Delaware, pursuant to which the Company effected a 1-for-20 reverse stock split (the “Reverse Stock Split”) of its issued and outstanding common stock, par value $0.01 per share (the “Common Stock”).
As previously reported in the Company’s 8-K filed with the Securities and Exchange Commission on June 15, 2023, the Company’s stockholders previously approved the proposal to authorize the Board of Directors of the Company (the “Board”) to, in its discretion, amend the Company’s Third Amended and Restated Certificate of Incorporation to effect a reverse stock split at a ratio of between 1-for-2 and 1-for-30 at any time prior to the one-year anniversary of the date on which such proposal was approved by the Company’s stockholders, with the exact ratio to be set within that range at the discretion of the Board without further approval or authorization of the Company’s stockholders. On September 13, 2023, the Company’s Board approved a reverse stock split of the Company’s Common Stock at a ratio of 1-for-20. Effective as of at 5:00 p.m., Eastern Time on September 21, 2023, the Company effected the Reverse Stock Split.
As a result of the Reverse Stock Split, every twenty shares of issued and outstanding Common Stock will be automatically combined into one issued and outstanding share of Common Stock, without any change in the par value per share. The Reverse Stock Split will reduce the number of shares of Common Stock issued and outstanding from 27,562,298 to 1,378,095. No fractional shares will be issued as a result of the Reverse Stock Split. Any fractional shares that would have resulted will be settled in cash equal to the product of (i) the closing price of the Common Stock as reported on The Nasdaq Capital Market (“Nasdaq”) as of September 21, 2023, multiplied by (ii) the number of shares of Common Stock held by the stockholder immediately prior to September 21, 2023 that would otherwise have been exchanged for such fractional shares. The Common Stock issued pursuant to the Reverse Stock Split remains fully paid and non-assessable. The Reverse Stock Split did not affect the number of authorized shares of common stock or the par value of the Common Stock.
Stockholders holding their shares in book-entry form or in “street name” (through a broker, bank or other holder of record) will not be required to take any action.
The Common Stock is anticipated to begin trading on a split-adjusted basis on Nasdaq at the market open on September 22, 2023. The trading symbol for the Common Stock will remain “PRPO.” Following the Reverse Stock Split, the CUSIP for the Company’s Common Stock will be 74019L602. The Reverse Stock Split will also affect the Company’s outstanding stock options, warrants and other exercisable or convertible instruments and will result in the shares underlying such instruments being reduced and the exercise price being increased proportionately to the Reverse Stock Split ratio.
