1. The Form 3 is being amended to correct the number of shares initially reported as directly held by the Reporting Person. The 10,204 shares originally reported in the Form 3 and subsequent Form 4's as directly owned by the Reporting Person were actually held in the name of the Hale Family Trust Dated 2/10/86.
