1. Each restricted stock unit represents a contingent right to receive one share of common stock.

2. Pursuant to the Agreement and Plan of Merger and Reorganization, dated as of July 30, 2022, by and among Nikola Corporation, J Purchaser Corp. and Romeo Power, Inc. (the "Merger Agreement"), each restricted stock unit of the Issuer that was outstanding as of the effective time of the merger, whether vested or unvested, was automatically converted into a restricted stock unit with respect to shares of Nikola Corporation common stock, as adjusted for the 1-for-0.1186 exchange ratio detailed in the merger agreement.
