On July 07, 2008, the Corporation sold in exchange for aggregate gross proceeds of US$25,000, a total of 312,500 shares of the Corporation’s common stock and 312,500 common stock purchase warrants, each such warrant to purchase one share of common stock at any time prior to July 07, 2013, at an initial exercise price of US$0.12 per share, to Charles T. Russell, an accredited investor.
On July 07, 2008, the Corporation sold in exchange for aggregate gross proceeds of US$25,000, a total of 312,500 shares of the Corporation’s common stock and 312,500 common stock purchase warrants, each such warrant to purchase one share of common stock at any time prior to July 07, 2013, at an initial exercise price of US$0.12 per share, to Mark C. Russell, an accredited investor.
On July 07, 2008, the Corporation sold in exchange for aggregate gross proceeds of US$25,000, a total of 312,500 shares of the Corporation’s common stock and 312,500 common stock purchase warrants, each such warrant to purchase one share of common stock at any time prior to July 07, 2013, at an initial exercise price of US$0.12 per share, to Russell Associates E & T, LLC, an accredited investor.
On July 07, 2008, the Corporation sold in exchange for aggregate gross proceeds of US$50,000, a total of 625,000 shares of the Corporation’s common stock and 312,500 common stock purchase warrants, each such warrant to purchase one share of common stock at any time prior to July 07, 2013, at an initial exercise price of US$0.12 per share, to Harpur Enterprises Ltd, an accredited investor.
No underwriting discounts were received or commissions paid by the Corporation in connection with the sales reported herein, and all sales resulted from private placement transactions exempt from registration under Section 4(2) of the Securities Act of 1933, as amended. The Corporation used the gross proceeds of US$125,000 from these sales to pay critical accounts payable, including fees owed to legal, audit and accounting service providers, and other corporate expenses.
