On March 18, 2005, Province Healthcare Company issued a press release announcing that, in connection with its previously announced business combination with LifePoint Hospitals, Inc. into a newly-formed company, it has commenced a cash tender offer and consent solicitation for any and all of its $200,000,000 outstanding principal amount of 71/2% Senior Subordinated Notes due 2013. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in its entirety.
