Item 5.02. | Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
On November 3, 2017, W. R. Grace & Co. (the "Company") announced that Fred Festa intends to retire as Chief Executive Officer of the Company during the fourth quarter of 2018. Mr. Festa will continue as non-executive Chairman of the Company's Board of Directors (the "Board”). The Company also announced that the Board has elected Hudson La Force, the Company's President and Chief Operating Officer, as a Class I director of the Company, to serve for an initial term commencing on the date of his election (November 2, 2017) and expiring at the Company's 2018 Annual Meeting of Stockholders. Mr. La Force has not been appointed to any standing committees of the Board and he will not participate in the Company's compensation program for nonemployee directors.
