On December 1, 2009, RAIT Financial Trust (the “Company”) announced that it commenced an exchange offer for up to $62,831,000 aggregate principal amount of its outstanding 6.875% Convertible Senior Notes due 2027 (the “Exchange Offer”). A copy of the press release issued by the Company is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. The Company also hereby files as Exhibit 99.2, the Letter of Transmittal to be used by noteholders who wish to exchange their notes in the Exchange Offer.
