Explanation of Responses:

1. For 2024, the annual equity grant for the reporting person consisted of 50% restricted stock units (RSUs) and 50% performance share units (PSUs). The PSU grants are subject to potential disclosure at a later date upon the satisfaction of the related performance and time vesting conditions. The amount set forth above represents the grant of RSUs, which are scheduled to vest in three equal annual installments beginning on March 6, 2025, the first anniversary of the grant date, subject to satisfaction of the related vesting requirements set forth in the Baxter International Inc. 2021 Incentive Plan.
