ITEM 2.02 – RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On April 27, 2012, Heritage Financial Corporation (“Heritage”) issued its earnings release announcing its operating results for the first quarter ended March 31, 2012. A copy of the release is furnished herewith as Exhibit 99.1, and is incorporated herein by reference.

On April 27, 2012, Heritage Financial Corporation (“Heritage”) issued a press release announcing a quarterly cash dividend of $0.08. The dividend will be paid on May 24, 2012, to shareholders of record at the close of business on May 10, 2012. A copy of the release is furnished herewith as Exhibit 99.1, and is incorporated herein by reference.
