Explanation of Responses:

1. As a result of Company performance against pre-approved financial targets applicable to performance vested restricted stock units previously granted, as certified on February 29, 2024 for the period of January 1, 2021 through December 31, 2023, the reporting person acquired 990 stock-settled restricted stock units that vested March 2, 2024.

2. Represents shares withheld to satisfy tax withholding obligations in connection with vestings. No shares were sold.

3. Options vest in four equal annual installments beginning on March 2, 2025.
