Technical Olympic USA Announces Offering of Its Senior Subordinated Notes
HOLLYWOOD, Fla., December 14 — Technical Olympic USA, Inc. (NYSE: TOA) announced today that it is offering $200.0 million in aggregate principal amount of its Senior Subordinated Notes due January 2015 in an unregistered offering pursuant to Rule 144A and Regulation S under the Securities Act. The Company intends to use the proceeds from the offering to repay amounts outstanding under its revolving credit facility and for general corporate purposes.
The senior subordinated notes to be offered in this transaction will not be registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
